Corporate advisory

Advising businesses on their day to day issues is a pivotal part of our corporate practice. For many years we have worked with and continue to work with established businesses providing expertise on issues that they face on a day to day basis. This may mean looking at a shareholders agreement to determine the client’s obligations on reporting or advising on how the Companies Act applies to the business.

We advise a whole range of clients including, companies (listed and unlisted), businesses, partnerships, joint ventures, LLPs and other trading entities, as well as their members, shareholders, directors and owners. Advice that we have provided in the past includes, advising on the impact of the Companies Act, Listing Rules, AIM Rules and City Code on Takeovers and Mergers.

We have carried out work in the following areas:

  • Advising the company secretary on secretarial matters
  • Advising on disputes at board level
  • Advising on disputes at shareholder level
  • Advice in relation to the company’s constitution (articles of association, shareholders’ agreement etc)
  • Advice on the company’s share capital (issue of further shares, buy back, reduction and restructuring)
  • Advising on corporate governance matters and any regulatory compliance issues (impact of the Companies Act, AIM, Listing Rules etc)
  • How the codified directors’ duties impacts on the decision making process
  • Matters arising from financial distress and insolvency
